Terms of Service

1. Acceptance of Terms

By accessing or using the Rediacc website (www.rediacc.com) or the Rediacc infrastructure automation platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Rediacc provides an infrastructure automation platform designed for AI-driven operations, including zero-copy database cloning, disaster recovery, development environment provisioning, and related professional services. The specific features available to you depend on your subscription tier.

3. Accounts and Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

4. Subscriptions and Payment

Rediacc offers multiple subscription tiers, including a free tier and paid tiers. Paid subscriptions are billed monthly or annually in advance. All fees are stated in US dollars and are non-refundable except as described in our Refund Policy.

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle. If you do not agree to a price change, you may cancel your subscription before the next billing cycle.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with our Acceptable Use Policy. You must not use the Services in any way that could damage, disable, or impair the Services or interfere with other users' access.

6. Telemetry and Data Collection

Our software products collect anonymized usage telemetry to improve product quality and performance. By using the Services, you acknowledge that telemetry collection occurs as described in our Telemetry Policy.

Telemetry is designed to be privacy-preserving: personal identifiers are anonymized before transmission, and you may opt out of telemetry at any time. The Telemetry Policy describes the specific data collected by each product and the mechanisms for disabling collection.

7. Intellectual Property

The Services, including all software, documentation, designs, text, graphics, and other content provided by Rediacc, are owned by Rediacc and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription term.

You retain all rights to your data and content that you upload, store, or process through the Services. By using the Services, you grant Rediacc a limited license to host, store, and process your data solely to provide the Services to you.

8. Your Data

You own your data. We do not access, use, or share your data except as necessary to provide the Services, comply with the law, or as described in our Privacy Policy. Upon termination of your account, you may export your data within 30 days. After 30 days, we will delete your data from our active systems.

9. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance.

10. Limitation of Liability

To the maximum extent permitted by law, Rediacc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Services.

Our total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the total amount you paid to Rediacc during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rediacc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services if you violate these Terms or the Acceptable Use Policy, with or without notice depending on the severity of the violation.

Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Estonia.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
